Terms of Service

1. Acceptance of Terms

By accessing or using Pensare.io (“Pensare”, “we”, “our”, or the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.

3. Eligibility

 You must be at least 13 years old to use the Service. If you are in the EU/EEA/UK, you must be at least 16 (or the age of digital consent in your country) unless you have verifiable parental consent.
 If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

4. Accounts and security

  •  Registration: You must provide accurate, current information and keep it updated.
  •  Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
  •  Notifications: Inform us immediately at Support@Pensare.io of any suspected unauthorized use of your account.
  •  Suspension/termination: We may suspend or terminate your account at our discretion for violations of these Terms or to protect the Service and its users.

5. User Content and license to Pensare

  •  Ownership: You retain ownership of content you create or upload (e.g., articles, paragraphs, images, links, comments, replies, profile and profile links) (“User Content”).
  •  License to Pensare: You grant Pensare a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, display, perform, distribute, and create derivative works of your User Content solely as necessary to operate, improve, secure, and promote the Service. For private or unpublished content, the license is limited to operating and securing the Service.
  •  Publicity: If your content is public, you agree we may display it and use excerpts or metadata to promote discoverability within the Service.
  •  Comments/replies after account deletion: To preserve discussion continuity, we may anonymize authorship of comments/replies rather than delete them outright where removal would materially disrupt other users’ experiences.
  •  Backups/retention: Residual copies of User Content may remain in backups for a limited time after deletion.
 Feedback: If you provide suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty‑free license to use them without restriction.

6. Prohibited content and conduct

You agree not to, and will not assist or enable others to:
    •  Violate laws, third‑party rights (including IP and privacy), or these Terms.
    •  Post or share unlawful, defamatory, hateful, harassing, deceptive, fraudulent, or otherwise harmful content.
    •  Post malicious code, attempt to interfere with the Service’s operation, bypass rate limits, or probe/scan vulnerabilities.
    •  Spam, engage in deceptive practices, or manipulate engagement metrics.
    •  Copy, scrape, or index the Service at scale without our prior written consent.
    •  Reverse engineer, decompile, or derive source code from the Service where not permitted by law.

We may remove or restrict content or accounts that violate these Terms or applicable laws.

7. Affiliates, links, and third‑party content

  •  Articles and other areas may include links to third‑party websites, merchants, or affiliate programs. We may track clicks and may earn a commission from qualifying purchases.
  •  We do not control, endorse, or assume responsibility for third‑party sites, products, or services. Your interactions with third parties are solely between you and them.
  •  Ensure any outbound links you add are accurate, safe, and comply with law and applicable programs you participate in.

8. Communications

  •  Transactional: We may send you transactional messages (e.g., account activation, password resets, security notifications).
  •  Newsletter/marketing: If you opt in to our newsletter or other marketing, you can unsubscribe at any time. For details on how we process personal data, see our Privacy Policy.


9. Service availability and changes

  •  Availability: The Service may change, be interrupted, or discontinued without notice. We strive for reliable operation but do not guarantee uptime.
  •  Modifications: We may modify or remove features; we may introduce beta or experimental features that may be less stable.
  •  Updates to Terms: We may update these Terms from time to time. If changes are material, we will notify you by email, banner, or in‑app notice. Continued use after changes take effect constitutes acceptance.


10. Intellectual property

  •  Pensare materials: The Service, including software, design, logos, trademarks, text, and graphics (excluding User Content), is owned by Pensare or its licensors and is protected by intellectual property laws. You may not use Pensare’s marks without prior written permission.
  •  Limited right to use: Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable right to access and use the Service for its intended purposes.

11. Privacy

  • Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect personal information. For data rights, requests must follow the process defined in the Privacy Policy.

12. Termination

  •  By you: You may delete your account at any time. Certain User Content may be anonymized instead of fully deleted to preserve conversation continuity, as described above and in our Privacy Policy.
  •  By us: We may suspend or terminate your account or access to the Service at any time for any reason, including violations of these Terms.
  •  Effect: Upon termination, your license to use the Service ends. Sections that by their nature should survive termination (e.g., IP ownership, disclaimers, limitation of liability, indemnification, governing law) will survive.

13. Warranties and disclaimers

  •  THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
  •  We do not warrant that the Service will be uninterrupted, secure, error‑free, or that defects will be corrected.
  •  We do not guarantee any outcomes, results, or revenue from your use of the Service or affiliate links.


14. Limitation of liability

  •  TO THE MAXIMUM EXTENT PERMITTED BY LAW, PENSARE SERVICES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  •  TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID US (IF ANY) FOR USE OF THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
  •  Some jurisdictions do not allow certain limitations; in such cases, these limitations apply to the fullest extent permitted.

15. Indemnification

  • You agree to defend, indemnify, and hold harmless Pensare Services LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
    •  Your use of the Service,
    •  Your User Content,
    •  Your violation of these Terms or applicable law,
    •  Your infringement or misappropriation of any third‑party rights.
  • If you believe content on the Service infringes your copyright, contact Support@Pensare.io with:
    •  Your contact details,
    •  A description of the work you claim is infringed,
    •  The URL or location of the allegedly infringing content,
    •  A statement of good‑faith belief that the use is not authorized,
    •  A statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized to act on the owner’s behalf,
    •  Your electronic signature.
    • We may remove content at our discretion and may terminate repeat infringers’ accounts.


17. Governing law and venue

  • These Terms are governed by the laws of the United States, without regard to conflict‑of‑laws rules, and subject to any mandatory consumer protection laws in your jurisdiction. Venue for any disputes will be as determined by applicable law and a competent court of jurisdiction in the United States.


18. International use

  • The Service is intended for global use. You are responsible for compliance with local laws. Where local laws provide specific rights or obligations (e.g., EU/UK consumer protections), those rights remain unaffected.

19. Miscellaneous

  •  Entire agreement: These Terms constitute the entire agreement between you and Pensare regarding the Service and supersede prior agreements and understandings.
  •  Severability: If any provision is found unenforceable, it will be modified to reflect the parties’ intent as closely as possible, and the remaining provisions will remain in effect.
  •  No waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later.
  •  Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  •  Notices: We may provide notices via email, in‑app messages, or postings on the Service.
